Terms and Conditions Sudan Export Gateway Platform Effective Date: 2026-05-06 Version: 1.0 1. Introduction Welcome to Sudan Export Gateway ("Platform", "SEG", "we", "our", or "us"). These Terms and Conditions ("Terms") govern access to and use of the Sudan Export Gateway platform and related services by exporters, importers, buyers, sellers, logistics providers, and other users ("Users", "you", or "your"). By accessing or using the Platform, you agree to be legally bound by these Terms. If you do not agree with these Terms, you must not use the Platform. 2. Nature of the Platform Sudan Export Gateway is a digital B2B trade facilitation platform that enables Users to discover trading partners, exchange quotations, generate trade documents, manage export/import workflows, communicate electronically, and facilitate international trade transactions. SEG acts solely as a technology provider, communication facilitator, and document management system. SEG is not the buyer, the seller, the exporter of record, the importer of record, a customs broker, a freight carrier, a bank, or a financial institution, unless expressly stated in a separate written agreement. 3. User Eligibility By using the Platform, you represent and warrant that you are legally authorized to conduct business, you have authority to bind your company or organization, all information provided is accurate and lawful, and your activities comply with applicable laws and regulations. SEG reserves the right to reject or suspend any account at its discretion. 4. Account Registration Users may be required to create an account, complete KYC/verification procedures, provide business registration documents, and maintain accurate account information. Users are responsible for safeguarding login credentials, all activities conducted through their account, and immediately notifying SEG of unauthorized access. 5. Electronic Transactions & Digital Acceptance Users agree that electronic records, electronic approvals, digital signatures, click-through acceptances, and electronically generated documents constitute valid and legally enforceable communications and agreements to the fullest extent permitted by applicable law. The Platform may maintain timestamps, audit logs, transaction records, and electronic confirmations as evidence of commercial activity. 6. Purchase Orders (POs) Purchase Orders generated through the Platform are issued by the Buyer/User, or on behalf of the Buyer/User. SEG merely facilitates electronic generation and transmission of such documents. Unless expressly stated otherwise, SEG is not a contracting buyer, does not guarantee payment, and assumes no liability arising from the PO itself. A PO becomes legally binding only when accepted by the relevant seller/exporter according to applicable law and agreed trade terms. 7. Proforma Invoices (PIs) Proforma Invoices generated through the Platform are issued by exporters/sellers through the Platform. SEG does not certify commercial accuracy, does not guarantee pricing, and is not the legal seller of goods. Users are solely responsible for product descriptions, quantities, pricing, export eligibility, and compliance with applicable laws. 8. Trade Documents The Platform may facilitate generation or exchange of Commercial Invoices, Packing Lists, Certificates of Origin, Shipping Documents, Inspection Certificates, and Export Documentation. Users acknowledge that they remain solely responsible for the legality and accuracy of all submitted documents, and customs or banking authorities may require additional verification. 9. No Guarantee of Transactions SEG does not guarantee successful transactions, payment collection, product quality, shipment delivery, buyer solvency, or seller performance. All trade transactions are conducted solely between Users. Users are encouraged to conduct due diligence, verify counterparties, obtain insurance, and use secure trade finance instruments. 10. Payments & Financial Services Unless expressly agreed otherwise, SEG does not act as a bank, escrow agent, or payment processor. Where payment facilitation services are integrated, separate terms may apply, including AML/KYC requirements. Users are responsible for taxes, customs duties, banking fees, exchange controls, and regulatory compliance. 11. International Trade Compliance Users agree not to use the Platform in violation of export control laws, sanctions laws, anti-money laundering regulations, anti-corruption laws, or customs regulations. Users further represent that they are not subject to sanctions or trade restrictions, and their goods are lawful for export/import. SEG reserves the right to screen transactions, request compliance information, suspend suspicious activity, or report unlawful conduct to authorities. 12. Intellectual Property All Platform software, branding, logos, content, workflows, and systems are owned by SEG or its licensors. Users may not copy, reverse engineer, distribute, or commercially exploit the Platform without written permission. 13. Data Privacy & Confidentiality SEG will take reasonable measures to protect user data and commercial information. However, Users acknowledge that internet transmissions are not fully secure, and SEG cannot guarantee absolute security. Users remain responsible for protecting sensitive commercial information. A separate Privacy Policy may govern data processing activities. 14. Limitation of Liability To the maximum extent permitted by law, SEG shall not be liable for indirect damages, lost profits, shipment delays, customs issues, banking disputes, product defects, fraud by third parties, or transaction failures. SEG's total liability shall not exceed the fees paid to SEG for the relevant service during the preceding 12 months. 15. Indemnification Users agree to indemnify and hold harmless SEG and its affiliates from claims arising out of misuse of the Platform, breach of these Terms, regulatory violations, inaccurate documentation, or disputes with other Users. 16. Suspension & Termination SEG may suspend or terminate access where Terms are violated, fraudulent activity is suspected, sanctions risks arise, or legal/regulatory concerns exist. Users may terminate their account by written request, subject to pending obligations. 17. Governing Law These Terms shall be governed by the laws of [Republic of Sudan / DIFC / England & Wales / Other Jurisdiction] without regard to conflict-of-law principles. 18. Dispute Resolution Parties shall attempt good-faith resolution of disputes. If unresolved, disputes may be submitted to arbitration, commercial courts, or agreed dispute resolution forums. Recommended arbitration venue: Dubai International Arbitration Centre (DIAC) or Sudan Arbitration Center. 19. Force Majeure SEG shall not be liable for delays or failures caused by war, sanctions, government actions, internet outages, port disruptions, natural disasters, or events beyond reasonable control. 20. Amendments SEG reserves the right to update these Terms at any time. Continued use of the Platform after updates constitutes acceptance of revised Terms. 21.
